IN CONSIDERATION OF YOU SELLING ME MERCHANDISE ON CREDIT, I/WE AGREE TO YOUR CREDIT TERMS OF NET 30 FROM DATE OF INVOICE AS INDICATED ON THE ATTACHED TERMS AND CONDITIONS SHEET. PAST DUE ACCOUNTS ARE SUBJECT TO LATE PAYMENT SERVICE CHARGES OF ONE-AND-ONE-HALF PERCENT (1 - 1/2%) PER MONTH OR AN ANNUAL RATE OF EIGHTEEN PERCENT (18%) PER ANNUM. THE UNDERSIGNED AGREES TO PAY ALL COLLECTION COSTS, COURT COSTS, AND LEGAL FEES INCURRED TO COLLECT DELINQUENT BALANCES. I/WE HEREBY AUTHORIZE ALL CREDIT SOURCES NAMED ABOVE TO RESPOND TO CREDIT INQUIRIES. I/WE HAVE READ, UNDERSTAND AND AGREE TO THIS AGREEMENT AND TERMS AND CONDITIONS, AND THAT I/WE HAVE RECEIVED AN EXACT COPY OF SAME.

Sales Tax Exemption Certificate:

The undersigned certifies exemption from payment of sales and use tax under the law(s) of the State(s) indicated by the license or permit number(s) listed below; that all tangible in the original form or after further processing of manufacturing; and assumes liability for payment of any tax that may be due if the property purchased is used for any other purpose. This certificate is a continuing one and shall remain in effect until cancelled by written notice. It shall apply to all purchases unless otherwise specified at the time the order is placed. Please insert your sales and tax exemption number(s) for the State(s) in which you hold exemption status.

RELEASE AND CONSENT TO INFORMATION

By executing this application, applicant(s) hereby authorize(s) seller to investigate applicant(s) credit record/history and financial responsibility and further authorizes seller to furnish information regarding applicant(s) performance of this agreement to a proper credit reporting agency and such others who are entitled to receive said information in compliance with the Fair Credit Reporting Act.

APPLICABLE LAW

This application and all credit extended and purchases made pursuant to the same shall be subject to and governed by the laws of the state of Colorado.

BILLING TERMS AND CONDITIONS

Applicant will be billed individually for each purchase made on the account. Payment will be made from the invoice, as statements are normally not sent.

Payment Terms: Net 30 days from date of invoice. Discount whenever applicable will be stated on invoice.

DEFAULT

In the event that applicant fails to pay the entire past due balance on the account when due, seller may declare the account to be in default and without further notice or demand, exercise all rights and remedies available at law for the collection of the balance due on the account. In the event of default, applicant will be liable for all expenses of collection, with or without suit, including but not limited to all court costs and attorney fees, to the extent allowed under applicable law.

ADDITIONAL TERMS AND CONDITIONS

DELIVERY:

Promises of date and times of deliveries or availabilities are estimated as closely as possible, but not guaranteed.

TERMS OF DELIVERY:

In the absence of any written agreement, terms shall be as stated herein and all purchases, shipments and deliveries shall be subject to the approval of seller’s credit department. If in the judgement of seller, the credit standing of applicant becomes impaired at any time, seller shall not be obligated to make any deliveries and may require full payment within ten (10) days of demand of seller. Seller shall retain a security interest in the goods sold hereunder to secure the payment of amounts herein.

CANCELLATION:

In the event of cancellation of an order, the Purchaser shall be liable for the reasonable cost and expenses incurred by Fluent Conveyors prior to notice of cancellation of the order.

RETURNS:

Fluent Conveyors products may not be returned without written authorization. Any and all expenses incurred in the return of the products shall be borne by the purchaser.

DAMAGE CLAIMS:

Buyer shall immediately check and inspect all equipment, material or goods on arrival. If by common carrier, buyer shall file claims with the carrier for all shortages and damages and shall take responsibility for collecting any damage or shortage occurring in transit. Shortages or damage by seller’s trucks should be noted on delivery slips or notice given to seller’s office immediately upon delivery. Seller shall not be considered or held liable at any time for any damages, injury or loss after delivery to customer except for the performance of material upon which there are Standard Guarantees relating to such merchandise, but shall be limited to the terms and conditions of such Standard Guarantees.

WARRANTY:

Fluent Conveyors warrants, to the original purchaser only, that the products it manufactures are free from defects in materials and workmanship, when used under normal function of the type of product purchased.

WARRANTY DISCLAIMERS:

Seller does not assume any warrants, express or implied, of manufacturers or distributors and herein limits any warranties, express or implied, made by seller to a refund of the original purchase price of the equipment, material, goods or services sold by Fluent Conveyors.

ACCEPTANCE:

All orders are accepted upon the condition that the purchaser agrees to be bound by the terms and conditions of sale contained herein. Any terms and conditions in the Purchaser’s order which delete from, alter, or add to the terms and conditions herein will not be binding upon Fluent Conveyors unless such terms and conditions are expressly agreed to in writing by Fluent Conveyors.
